What is a private company limited by shares?
This type of company is the most popular company around. Its shareholders have limited liability and shares cannot be offered to the public. Most small companies in the UK are of this format.
The Companies Act 2006 has rid any new formations of an authorised share capital and instead of a company needing two officers, one is now sufficient.
What is needed to form a private limited company by Shares?
Picking a name
When picking a name you must be sure that it is not the same as a current one on the Companies House Register. There are also words that Companies House do not deem different enough from currently formed Companies i.e services, Company, UK, GB, .com, .co.uk and pluralisations of existing names. So for example Joe Bloggs Limited is already in existence, it would not be possible to form Joe Bloggs Services Limited as Companies House would say this is to similar.
How to form a company
Forming this type of company is quite painless. Most are formed electronically these days and can be done by downloading and filling in our company formation order form at the bottom of the page.
To form a company electronically we require an electronic signature which requires three snippets of information about yourself from the following seven options:

- A suitable name for the company.
- A minimum of one officer (i.e one director)
- L&A Agency Services Limited standard Memorandum & Articles of Association
- A minimum of one shareholder (normally the director)
- A Registered Office, this does not have to be the usual business address.
